1. Acceptance of Terms

By creating an account, accessing, or using the ceesend platform (operated by Commisoft Ltd.), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Service

ceesend provides automated bulk SMS dispatching, contact management, scheduled campaigns, and delivery tracking services across telecommunication networks in Ghana (including MTN, Telecel, and AT) and international destinations.

3. Acceptable Use Policy & Anti-Spam Commitment

ceesend enforces a strict zero-tolerance policy for unsolicited bulk messaging (SPAM). You agree not to use the platform to:

  • Send unsolicited commercial messages, promotional offers, or marketing broadcasts to individuals who have not provided explicit, prior opt-in consent to receive communications from your organization.
  • Transmit messages containing fraudulent, deceptive, harassing, defamatory, obscene, predatory, or illegal content.
  • Impersonate financial institutions, telecom operators, government agencies, emergency services, or third parties without legal authorization.
  • Upload, purchase, rent, or use third-party scraped phone number lists or unverified lead databases.
  • Violate statutory regulations and telecommunications directives established by the National Communications Authority (NCA) of Ghana, the Data Protection Commission, or partner telecom operators.

ceesend reserves the right to immediately suspend or terminate any account found in violation of this policy without refund, and to cooperate fully with regulatory and law enforcement investigations.

4. Recipient Consent, Opt-Out Obligations & 1-Way Alphanumeric Sender IDs

4.1 One-Way Messaging Notice: You acknowledge that messages dispatched using custom alphanumeric Sender IDs (e.g., brand or organization names) or default system masks are transmitted across telecommunication networks as one-way (simplex) A2P broadcasts. Mobile handsets cannot reply directly via SMS to an alphanumeric Sender ID. If you require recipient callbacks or replies, you must include your contact telephone number or response link within the message body.

4.2 Sender Opt-Out Duty: As the sender, you maintain the affirmative legal obligation under Ghanaian consumer protection and privacy laws to provide recipients with a clear, accessible, and cost-free mechanism to opt out or unsubscribe from marketing communications (such as including a customer care number, email, or opt-out web link in promotional copy).

4.3 Honoring Opt-Outs & Blacklist Management: You agree to immediately honor all opt-out and Do-Not-Disturb (DND) requests. When a recipient requests to be removed, you must promptly mark that contact as Blacklisted within your ceesend workspace dashboard. ceesend automatically filters out and blocks any contact marked as Blacklisted from future campaign dispatches.

5. Sender IDs & Telecom Carrier Regulations

5.1 Default Sender ID: Every newly registered workspace is provisioned with immediate access to ceesend's pre-approved default alphanumeric Sender ID (CEESEND).

5.2 Custom Alphanumeric Sender IDs: You may request custom alphanumeric Sender IDs (up to 11 alphanumeric characters) representing your registered business, organization, church, or brand name through your workspace Settings. In compliance with the National Communications Authority (NCA) of Ghana and telecom operator anti-spoofing policies (MTN, Telecel, AT), all custom Sender IDs are subject to review, verification, and network operator approval (typically 24 to 48 business hours).

5.3 Anti-Spoofing Policy: Arbitrary, unverified mobile numbers and misleading, generic, or deceptive sender names cannot be used as sender masks on application-to-person (A2P) routes. Attempting to impersonate other entities, brands, or financial institutions constitutes a severe breach of these Terms and will result in immediate account termination.

6. Credits, Billing & Payments

Services are billed on a credit basis:

  • Lifetime Credits: Do not expire as long as your workspace remains active.
  • Commitment Plans: Discounted volume rates valid for a specified billing period (Monthly, Quarterly, Bi-Annual, Annual).
  • Credits are consumed upon campaign or Quick Send dispatch regardless of whether the recipient handset is reachable.
  • Payments are processed securely via Mobile Money (MTN MoMo, Telecel Cash, AT Money) and debit/credit cards via Paystack.

7. Indemnification & Sender Liability

You agree to defend, indemnify, and hold harmless ceesend, its parent company Commisoft Ltd., its directors, officers, employees, and telecommunication carrier partners against any and all claims, regulatory penalties, fines, damages, liabilities, and legal expenses arising out of or related to:

  • Your failure to obtain verifiable opt-in consent from message recipients prior to dispatch.
  • Your failure to provide or honor recipient opt-out / unsubscribe requests.
  • The transmission of unlawful, fraudulent, or non-compliant message content from your workspace account.

8. Limitation of Liability

While ceesend maintains direct carrier connections for high delivery reliability (99.4%+), final SMS delivery to a recipient device is governed by individual mobile network operators and recipient device availability. ceesend shall not be held liable for indirect, incidental, or consequential damages arising from network interruptions or third-party telecom carrier delays.

9. Modifications to Terms

We may update these Terms of Service from time to time to reflect regulatory requirements and platform improvements. Continued use of the platform after updates constitutes your agreement to the revised terms.
